AGENCY AGREEMENT – PUBLIC OFFER

on mediation in accepting payments for tickets, goods, services, digital products, subscriptions, donations, and other types of payments on behalf and for the account of the Organizer

Article 1 – Parties to the Agreement

Organizer:

A legal entity or sole proprietor who has accepted this offer electronically through the Agent’s platform. The Organizer’s data is defined in their user account. Registration and use of the platform as an Organizer is permitted exclusively to legal entities and sole proprietors.

By accepting this offer, the Organizer (including non-residents) agrees to the application of the laws of the Republic of Serbia and the jurisdiction of Serbian courts.

Article 2 – Subject of the Agreement

The Agent, on behalf and for the account of the Organizer, provides mediation and payment processing for:

• sales of event tickets;
• sales of goods and physical products;
• sales of services (online and offline);
• sales of digital products and content;
• one-time and recurring (subscription) payments;
• membership fees, passes, and other recurring payments;
• donations;
• any other types of payments offered by the Organizer through the platform.

The Agent does not provide payment services within the meaning of the Law on Payment Services, does not open electronic wallets, and does not hold funds on behalf of customers or the Organizer longer than necessary for service execution.

The Agent does not become the owner of goods/services or donations — all funds are always collected solely on behalf and for the account of the Organizer.

The services under this Agreement are available exclusively to legal entities and sole proprietors. Individuals are not permitted to act as Organizers.

Article 3 – Rights and Obligations of the Agent

The Agent undertakes to:

• publish the Organizer’s offers on the platform;
• accept and process payments via cards, IPS, and other methods;
• enable one-time and recurring billing;
• issue electronic tickets and payment confirmations;
• transfer funds to the Organizer according to the payout schedule in the Organizer’s Dashboard;
• conduct AML/KYC checks when necessary;
• temporarily suspend payouts in case of suspected fraud, chargebacks, or illegal activities;
• remove content that violates platform rules or laws;
• remove content containing political messaging, unauthorized financial services, medical claims, pyramid schemes, or any other prohibited content.

The Agent is not responsible for the quality, delivery, performance of services or goods, or any legal obligations of the Organizer.

Article 4 – Rights and Obligations of the Organizer

The Organizer, as a legal entity or sole proprietor, undertakes to:

• possess all rights required to sell goods/services/events;
• deliver goods and perform services in accordance with their description;
• comply with consumer protection and tax regulations;
• handle VAT and all other tax obligations;
• resolve customer complaints;
• ensure refunds to customers in case of event cancellation;
• bear all costs of chargebacks and refunds except the Agent’s commission;
• refund customers from their own funds in case of non-delivery or non-performance.

For digital products, the Organizer must clearly define refund conditions and customer rights.

Article 5 – Commission

The Agent’s commission is determined according to the values displayed in the Organizer’s Dashboard.

The Agent shall publish commission changes at least 7 days before they take effect.

The commission is non-refundable in cases of mediation, cancellation, or refund.

Article 6 – Electronic Acceptance

By accepting the offer via click, the Agreement is considered concluded in written form in accordance with Article 791 of the Law on Obligations.

Article 7 – Term and Termination

The Agreement is concluded for an indefinite period.

It may be terminated electronically with a 15-day notice period.

The Agent may immediately terminate cooperation if there is justified suspicion of illegal activities, including AML risks.

Article 8 – Applicable Law and Disputes

The laws of the Republic of Serbia apply.

The Commercial Court in Belgrade has jurisdiction.

Article 9 – Limitation of Liability

The Agent does not guarantee uninterrupted platform operation and is not liable for damages caused by interruptions in internet service, banking services, payment processors, or other third parties. The Agent’s total liability is limited to the amount of commissions paid by the Organizer in the last 1 month.

Article 10 – Data Processing

The Agent processes personal data of customers and the Organizer solely for the execution of this Agreement, in accordance with the Personal Data Protection Act. The Organizer undertakes to use customer data only for order fulfillment.

Appendix 1 – Payout Procedure

Payouts are made according to the schedule displayed in the Organizer’s Dashboard, which may differ for:

• events,
• goods,
• services,
• digital products,
• donations,
• subscriptions and other recurring payments.

The Agent does not hold the Organizer’s funds longer than necessary and does not maintain internal balances.

The Agent may temporarily delay payouts in case of AML checks, chargeback risk, or suspected abuse.
